Terms and Conditions
Effective for All Offers, Sales, and Deliveries from JVECO INSTRUMENTS

1. General

• These terms and conditions apply exclusively to all quotations, sales, deliveries, and services provided by JVECO INSTRUMENTS (“JVECO's”). By placing an order, the buyer acknowledges and accepts these terms.
• If, after confirming an order or delivering goods, the purchaser is found to be non-creditworthy, JVECO INSTRUMENTS reserves the right to rescind the agreement or demand immediate payment for goods already supplied.
• Each transaction between JVECO INSTRUMENTS and the purchaser constitutes a binding agreement.
• All agreements must be made in writing to be valid.
• Any assignment of claims is subject to JVECO's prior written consent.

All orders must be submitted via email or WhatsApp to ensure proper processing and documentation.

3. Prices

• All quotes are non-binding and offered Ex-Works (EXW) in USD from JVECO’s premises unless otherwise stated in writing.
• Prices do not include packaging, shipping, freight, or insurance costs unless explicitly agreed upon.
• Prices stated in official quotations are valid for 30 days from the date of issue and are subject to change without notice thereafter.

4. Payment Terms

We generally require payment in advance for all orders. However, for ongoing business relationships, we are open to negotiating flexible terms, such as:

• 50% advance / 50% upon dispatch of goods
• 100% payment upon dispatch of goods
• 30 or 60 days DA (Documents Against Acceptance) through bank
• Before final payment, we can provide product and packaging confirmation via photos, videos, or live video calls

These options are designed to build trust and ensure transparency throughout the order process.

Payments can be made in the following currencies:
USD, EUR, JPY, CAD, AUD, HKD, GBP, CNY, CHF.

Payment terms must be agreed upon separately in writing. For payments made via PayPal, debit/credit card, or SWIFT transfer, the payment will only be considered valid once it has cleared.

Please note: All freight charges, insurance, taxes, and any additional costs are the responsibility of the customer.

5. Retention of Title

All goods remain the property of JVECO INSTRUMENTS until full payment is received. This applies to all previous, current, and future deliveries.

6. Delivery Time

• Delivery dates provided are estimates only. JVECO INSTRUMENTS will make every effort to meet the agreed delivery timelines.
• JVECO INSTRUMENTS shall not be held liable for delays caused by raw material shortages, manufacturing issues, or unforeseen circumstances.
• The buyer is not entitled to cancel or refuse the order due to delays unless delivery is delayed by more than 30 days, in which case the buyer may partially or fully withdraw from the undelivered portion of the agreement.
• JVECO INSTRUMENTS reserves the right to make partial deliveries.
• All shipments are made at the buyer’s risk unless otherwise agreed.

7. Shipping

We partner with trusted and reliable courier and cargo service providers to ensure your order is delivered safely, securely, and on time. Our shipping options include:

• Courier Services:
  UPS, DHL, FedEx, DPEX, DPD, TNT
• Cargo Services:
  Air Cargo, Sea Cargo

• Unless otherwise instructed, shipments are dispatched via express courier, air cargo, or sea freight based on the order’s weight and destination.
• Special shipping methods can be arranged upon request and will be reflected in the invoice.

8. Transfer of Risk

• Risk transfers to the buyer upon shipment or when the goods are collected from JVECO’s premises.
• If the goods are not collected due to the customer’s delay, the risk passes upon notification of shipping readiness.
• Claims for transit loss or damage must be made in writing within 14 days from the date of the invoice.

9. Claims / Complaints

• Upon receipt, the buyer must inspect the shipment for visible damage. Any transit damage must be reported to the carrier.
• Claims for product defects, shortages, or discrepancies must be submitted in writing within 5 working days of delivery.
• Failure to notify within this period constitutes acceptance of the goods as received.
• For valid complaints, JVECO INSTRUMENTS will replace the products within 5 to 10 working days.
• JVECO INSTRUMENTS is not liable for damages due to improper use, incorrect application, or handling.

11. Customized Products

• For custom-manufactured products, the buyer agrees to accept reasonable variances in specifications and pricing (±10%).
• Claims are accepted only if the final product materially deviates from the approved specifications and sufficient evidence is provided.

12. Product Specifications

• JVECO INSTRUMENTS products are manufactured in accordance with international standards and industry best practices.
• Product improvements may result in design or material changes without prior notice.
• All catalog items are made from medical-grade stainless steel, unless otherwise specified.

 

13. Guarantee / Warranty

• JVECO INSTRUMENTS offers a 3-year warranty from the date of purchase covering defects in material or workmanship.
• In such cases, JVECO INSTRUMENTS will either repair or replace the defective instrument at its discretion.
• Freight charges for warranty claims are borne by the buyer.
• Damage due to misuse, improper handling, sterilization, or storage is not covered under this warranty.

14. Place of Performance and Jurisdiction

• The place of performance for deliveries, payments, and dispute resolution is Sialkot, Pakistan.
